Thanks to all who responded to my query.  I disabled my McAfee anti-virus
and PU works fine now.  Just a pain to do, and I will have to remember to
enable before going back to the web.

Christa Hay, Eric A. Holt and Heather Goldman suggested disable anti-virus
- worked for me.  I didn't try any of the following.

Joe Noble suggested a program called Tralaine in place of PU
Robert Phillips: AV asked me to insert the Microsoft Office 2000 CD and now
it works
Suman Giri suggested Maybe you are missing one of these. exprojections.dll
in bin32 mapprojections in Lib 32 external_projection in expro
Gred Slutz migrated to 8.1 and now PU works fine
Margaret Gooding states There is a projection utility patch on ESRI's web site
